Responsibilities

Provide proactive, business-oriented, and strategic advice to business clients on franchise relationship matters impacting franchise sales, transfers, renewals, and terminations.

Prepare franchise-related documents and agreements for all franchise lifecycle events.

Counsel clients regarding franchise relationship and disclosure laws and other laws and negotiate to resolve disputes in these areas.

Prepare annual Franchise Disclosure Document renewals and periodic supplements for Motto Mortgage and conduct related due diligence, collaborating with business clients to drive system-wide updates.

Assist in auditing and updating existing franchising templates.

Collaborate with the mortgage compliance manager and outside counsel to provide proactive, business-oriented and strategic advice to business clients on legal and regulatory matters impacting the mortgage brokerage franchising and mortgage loan processing businesses.

Help maintain compliance with federal and state laws impacting the mortgage brokerage franchising and mortgage loan processing businesses. Track, and communicate within the business, changes to such laws.

Review advertising and marketing materials promoting the businesses to ensure compliance with mortgage and banking laws, advertising laws and guidelines, and company brand standards.

Supervise mortgage compliance manager who provides mortgage loan processing compliance support, as well as advertising and licensing support.

In collaboration with the mortgage compliance manager, administer the company’s compliance management program.

Provide cross-support for other attorney responsibilities on an as-needed basis, as assigned by Assistant General Counsel and the General Counsel/Chief Compliance Officer.

Required

J.D. degree from an ABA-accredited law school.

4+ years of practice in a corporate legal department with experience in franchising.

Practice experience or willingness to learn and develop expertise in the mortgage origination industry.

Substantial knowledge of federal and state franchise disclosure and relationship laws and regulations.

Admission to the Colorado bar, or active admission to another state’s bar and willingness to become admitted in Colorado.

Preferred

Law firm experience may be an acceptable substitute depending on the nature of the practice.

Single-Client Counsel Certification under C.R.C.P. 204.1 may be considered only for attorneys from non-reciprocal jurisdictions who are ineligible for admission on motion.
