Responsibilities
Review legal documents and brief department attorneys on the contents.
Monitor federal and state laws and regulations.
Assist in drafting and maintaining policies and procedures.
Comprehensive understanding of the key concepts and legal provisions of corporate vendor contracts and maintaining its database.
Manage the physician contract administration process and prepare contracts and contact amendments using templates.
Maintain the physician contract database to track contract status, key dates, and renewals.
Coordinate the preparation, execution, and delivery of contracts, ensuring that all parties and stakeholders receive drafts and executed copies.
Assist with maintenance of entity management files and databases for 300+ professional entities including annual filings.
Legal research and analysis and prepare memoranda and legal updates for review based on research.
Litigation support which includes assistance in managing litigation, organizing and maintaining case files, assisting in-house and outside counsel with responding to discovery requests, and keeping the department’s internal litigation tracker up-to-date.
Support internal investigations and responses to subpoenas or audits.
Due diligence support which includes assisting with due diligence investigations for mergers, acquisitions and other corporate transactions, collecting and analyzing other relevant documents and data, preparing summaries and assisting with drafting transactional documents.

Required
5+ years of experience as a Corporate Paralegal
Comprehensive understanding of the key concepts and legal provisions of corporate vendor contracts
Experience managing and maintaining various legal department document databases
Ability to draft communications and legal documents
Experience managing the physician contract administrative process
Experience providing litigation support
Ability to conduct legal research and prepare memoranda and legal updates
Experience coordinating the preparation, execution, and delivery of contracts
Ability to assist with maintenance of entity management files and databases for 300+ professional entities
Experience supporting internal investigations and responses to subpoenas or audits
Experience assisting with due diligence investigations for mergers, acquisitions, and other corporate transactions
