Responsibilities

Guide clients through the process of forming and structuring their businesses and ensure compliance with all relevant laws and regulations.

Handle complex financing transactions, focusing on Reg A and Reg D private placements. We provide clients with strategic counsel to achieve their funding goals.

Advise on and execute corporate restructurings, ensuring that clients can adapt to changing business environments while maintaining legal and regulatory compliance.

Structure and negotiate joint ventures, ensuring that all parties’ interests are protected while fostering mutually beneficial partnerships.

Lead clients through the entire M&A process, from due diligence and negotiation to drafting agreements and closing transactions, ensuring seamless and successful outcomes.

Draft, review, and negotiate various complex commercial contracts, safeguarding clients' interests and supporting their business objectives.

Advise on and manage secured transactions, ensuring that clients’ financial interests are protected through careful structuring and documentation.

Required

Minimum of 5 years of substantial experience in corporate law, with a strong focus on entity formation, governance, compliance, equity and debt financings, corporate restructurings, joint ventures, mergers and acquisitions, complex commercial contracts, and secured transactions.

A proven ability to develop and implement legal strategies that align with business goals and add value to clients.

A history of delivering exceptional client service, focusing on building lasting relationships and achieving value-based outcomes.

Strong ability to work effectively with professionals across different disciplines, integrating legal expertise with broader business strategies.

A proactive approach to identifying opportunities, attracting new clients, and growing the firm’s corporate/M&A practice.
