Responsibilities
Ensure compliance with regulatory and legal requirements for all Authorities Having Jurisdiction (AHJ) across all HFW corporate entities. Areas of responsibility include:
Business licensing and Certificates of Authority compliance
Compliance with Architectural and Engineering Board regulations from a corporate structuring and registration perspective
Manage outside corporate agents
Support other HFW departments, including HR and Finance & Accounting with compliance requirements
Support HFW’s Information Technology group with control and protection of digital information compliance
Management and oversite of HFW’s and all partner firms’ insurance program to include management, property and casualty, cyber, and professional liability insurances
Ensure compliance of HFW and all partner firms with internal policies and bylaws
Prepare and maintain corporate records and documents
Support merger and acquisition activity including:
Review of Indications of Interest (IOI), Letters of Intent (LOI), purchase agreements, and other ancillary agreements
Support external counsel in review of legal and risk due diligence information provided by target firms in order to analyze compliance risk
Support partner firm Project Managers in the review of contracts and provide recommendations for contract revisions to mitigate risk
Review project procurement documents and assist with legal review
Assist with debt collection and enforcement activities, including but not limited to demands, claims, notices, and litigation
Assist with preparation and filing of legal documents including pleadings, discovery, agreements, and releases for in-house attorneys and outside counsel
Support HFW employees with individual Architectural and Engineering Board compliance and registration
Assist with the development of training programs and presentations on contract law, employment law, company policies, and other A/E/C related legal issues
Identify and assess areas of compliance risk

Required
Bachelor’s degree in law or Paralegal Studies, or relevant field
Minimum 12 years’ experience in an AEC-related industry, or civil paralegal work
Experience with regulatory compliance across multi-entity corporate structures
Moderate to high understanding of contract language and terminology, with familiarity of contract management software
Ability to work independently, ability to handle multiple tasks, prioritize, meet deadlines, and manage a large volume of contracts and associated issues
Excellent communication, research, and problem-solving skills
Driven to achieve excellent results and win-win negotiations for operations
Proficient in Microsoft Word, PowerPoint and Excel and PDF editing programs
Preferred
Paralegal certification or equivalent combination of education and experience strongly preferred
