Responsibilities

Maintain the lifecycle of all company contracts, collaborating with company employees to ensure proper tracking and completion.
Independently draft, review, and process routine contracts and legal documents.
Maintain and update company contract templates as necessary.
Develop and implement document naming conventions for improved contract management.
Ensure smooth day-to-day contract operations by working closely with cross-functional teams and key leadership.
Maintain the official electronic files of the company and ensure accurate filing of corporate records, such as resolutions, board of director changes, and annual reports.
Assist in drafting and maintaining documents related to corporate policies, templates, and corporate restructurings, such as mergers and acquisitions.
Provide administrative support for the preparation of corporate documents and other activities as needed within the legal department.
Work with facility and company leadership to ensure smooth day-to-day operations and to address legal support needs related to contracting and other operational requirements.
Communicate effectively with other departments, vendors, and contracting parties with limited attorney instruction or oversight.
Draft and/or review routine documents and contracts as requested by internal teams.
Ensure all correspondence, including contract amendments, addendums, and notices, are processed efficiently.
Adhere to company guidelines, policies, and procedures, ensuring strict confidentiality regarding all company matters.
Demonstrate the ability to handle sensitive information with discretion and professionalism.
Take on additional projects as needed, assisting with the implementation and management of a contract/document management system.
Continuously work to streamline operations and improve contract management processes.

Required

An undergraduate degree is required.
Minimum of five (5) years' experience managing contract files, including monitoring all aspects of files for timely responses.
Minimum of three (3) years' experience drafting first responses to routine contract correspondence with limited attorney direction.
Minimum of five (5) years' experience drafting, revising, and updating contracts, including addendums, amendments, and notices.
Experience in implementing and managing a contract/document management system.
Working knowledge of corporate records, documents filed with the Secretary of State, and LLC formation.
Experience preparing and guiding the preparation of annual reports.
Advanced knowledge of Microsoft Word, Adobe Acrobat Professional, and the Google suite of products.
Excellent verbal and written communication skills, able to communicate effectively with internal teams, management, and external partners.
Strong interpersonal skills with the ability to maintain professionalism in all interactions.
Exceptional organizational skills and meticulous attention to detail.
Ability to balance multiple projects and tasks, effectively managing interruptions and changing priorities.
Solid analytical, research, critical thinking, and decision-making skills.
Ability to work well under pressure and evolving changes within the company.
Adhere to company guidelines, policies, and procedures, ensuring strict confidentiality regarding all company matters.
Demonstrate the ability to handle sensitive information with discretion and professionalism.

Preferred

Paralegal certification is preferred.
Familiarity with contract management software is a plus.
