Responsibilities
Draft, review, and maintain registration statements and related materials for funds and other securities offerings
Coordinate with outside counsel and Monroe Wealth Management team to ensure timely and accurate regulatory filings, including registration statement amendments, supplements, exchange listing applications, proxy statements, and related filings
Support Monroe’s Wealth Management team in all aspects of day-to-day fund, investment management and broker-dealer legal and regulatory compliance matters
Prepare agendas, resolutions, investment management agreements and related documents, policies and procedures, and other materials for investment company board meetings and preparing related minutes
Review distribution agreements and other general business contracts related to the registered funds / Wealth Management business; and
Assist on other departmental projects and tasks as assigned
Qualification
Required
Law degree
Admitted to any state bar association
3+ years of experience working at a law firm and or in-house, with a focus on registered investment funds (mutual funds, ETFs, open-ended funds), BDCs and/or REITs
Excellent verbal and written communication skills
Ability to manage multiple tasks simultaneously in a deadline driven environment as well as contribute to department and organizational special projects
Ability to work well independently and as a member of a team, which includes the ability to be flexible and adaptable
Strong attention to detail
Preferred
Knowledge of Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933 and the securities Exchange Act of 1934 preferred
Broker dealer / FINRA experience is a plus
