Paralegal (Corporate & Securities – Technology)
Pillsbury Winthrop Shaw Pittman LLP is seeking a Corporate/Securities Paralegal to join its Silicon Valley office. The role involves supporting attorneys with corporate transactions, managing corporate records, and assisting in the preparation of closing documents for technology startups and public firms.

Responsibilities
Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley)
Assist with management and maintenance of capitalization records
Aid in drafting and filing federal and blue sky securities filings and notices
Support attorneys in the preparation of formation and initial financing documents
Preparation and maintenance of corporate records
Assist in the preparation of closing documents and perform post-closing tasks
Qualification
Required
3 to 6 years of experience as a Corporate/Securities Paralegal
Experience supporting attorneys with corporate transactions including IPO's, mergers and acquisitions, re-incorporations, stock option plans and venture capital financings
BA/BS degree or equivalent
Minimum of 3 years of directly related work experience
Experience supporting IPOs from start to finish
Diligent in maintaining all corporate governance documents including minute books and closing binders for complex transactions
Experience with stock options, stock splits and cap table management software (e.g., eProsper, Carta, etc.)
Excellent computer skills required, including DocuSign, MS Office (Word, Excel, Outlook)
Flexibility to work overtime as requested
Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley)
Assist with management and maintenance of capitalization records
Aid in drafting and filing federal and blue sky securities filings and notices
Support attorneys in the preparation of formation and initial financing documents
Preparation and maintenance of corporate records

Demonstrate knowledge of capitalization fundamentals
Ability to read and interpret spreadsheets, plan documents and security-related agreements
Understanding of transaction types and securities law requirements
Proficiency in Excel, including complex sorting/filtering of data, formulas and functions, pivot tables, analysis, and modeling
Basic understanding of equity compensation accounting
Ability to maintain the integrity of highly confidential information
Preferred
Bachelor's Degree, preferably in Business, Accounting, Finance, or related work experience
Prior experience with Carta, Shareworks, or other capitalization management software
ECA designation or CEP certification is a plus
