Responsibilities
Provide end-to-end legal support for capital markets transactions across equity, debt, and hybrid instruments
Advise bankers and executives on SEC regulations, disclosure requirements, underwriting agreements, and liability management
Support offerings for domestic and cross-border clients, including 144A/Reg S, high-yield, investment-grade, and convertible debt
Coordinate with outside counsel, underwriters, and internal stakeholders to manage transaction execution and regulatory risk
Stay ahead of evolving U.S. securities laws, FINRA and NYSE/Nasdaq rules, and global capital markets trends
Qualification
Required
J.D. from a top-tier law school and admission to the New York Bar
3-6+ years of experience in capital markets at a leading law firm and/or investment bank
Deep familiarity with the Securities Act of 1933, the Exchange Act of 1934, and the rules governing public and private offerings
Experience across a range of capital markets products — IPOs, follow-ons, debt offerings, and structured securities
Sound judgment, commercial acumen, and the ability to advise senior stakeholders under tight deadlines
