Responsibilities
Provide legal support across a range of equity capital markets transactions, including IPOs, follow-ons, PIPEs, and block trades
Partner closely with bankers, issuers, and internal teams to manage deal flow and execution
Review, draft, and negotiate offering documents, underwriting agreements, and disclosure materials
Advise on regulatory and compliance matters, including SEC, FINRA, and stock exchange rules
Work cross-functionally with internal legal, compliance, and business teams to navigate deal-specific issues and maintain execution excellence
Qualification
Required
JD with strong academic credentials and active bar membership in good standing
Extensive experience working on equity offerings and public company transactions, ideally from a top-tier law firm or in-house at a financial institution
Deep understanding of U.S. securities laws and regulations governing capital markets transactions
Proven ability to manage multiple deals and stakeholders in high-pressure environments
Strong drafting, analytical, and problem-solving skills
Preferred
Prior in-house legal experience in investment banking or capital markets
NYC-based and comfortable with a hybrid in-office work arrangement
Familiarity with cross-border equity offerings or emerging growth companies is a plus
Ability to work independently while collaborating effectively across teams
