Responsibilities

Draft, review, and finalize complex legal agreements, tax opinions, and planning documents, including: Tax-free mergers & acquisitions, Tiered corporate and partnership structures, Complex partnership agreements (including profits interest arrangements), Section 1202 Qualified Small Business Stock (QSBS) planning and memoranda, Corporate conversions and reorganizations

Prepare and oversee the assembly of detailed planning memos, opinions, and step plans that articulate the legal and tax rationale behind strategies

Serve as a primary point of contact for clients regarding planning strategies, providing clear explanations of complex concepts and ensuring alignment between legal documents and client objectives

Collaborate with clients, internal practice groups, and external advisors to design and execute effective tax planning solutions

Oversee junior attorneys, paralegals, and drafting specialists to ensure accurate, efficient, and consistent delivery of work product

Provide training and mentoring to strengthen drafting skills within the team

Coordinate with attorneys across practice groups, CPAs, and other advisors to deliver comprehensive, well-documented strategies

Manage multiple projects simultaneously, ensuring timely completion and high-quality deliverables

Build and maintain strong client relationships to foster long-term engagements

Required

Juris Doctorate from an accredited university

LLM strongly preferred (equivalent considered)

Eight or more years Post JD/Active Practice

Five or more years Post LLM (if applicable)

Demonstrates excellent internal and client communication skills, essential for effective team collaboration and client interaction, and thrives in a relationship management role

Exhibits a proactive approach to managing multiple projects simultaneously, showcasing the ability to prioritize tasks without external/persistent reminders, subject to occasional task re-prioritization

Ability to establish strong and enduring rapport with clients

Ability to articulate planning concepts clearly, ensuring effective communication throughout project execution

Possesses proficient skills in creating checklists, assembling and motivating teams, delegating and overseeing accurate and efficient completion of tasks

Attention to detail with a view towards efficient and thorough completion of projects

Ability to break down complex tasks into manageable steps while maintaining overall integrity completion timeline and design goals

Possesses sufficient technical knowledge to understand the rationale behind the structure of finalized plans

Demonstrates the ability to comprehend and direct/oversee documentation of all necessary micro-steps for project completion
