Responsibilities
Lead multiple buy-side and sell-side financial due diligence engagements simultaneously, with a focus on software and technology businesses, working with private equity and corporate clients
Oversee engagement execution, ensuring clarity, quality, and consistency from kickoff to final deliverables
Act as the day-to-day client lead—building trusted relationships and ensuring communication is proactive, clear, and aligned with client objectives
Review and validate key deal analyses, including quality of earnings, net working capital, debt/debt-like items, and other transaction adjustments
Perform and review revenue adjustments to align with GAAP, and calculate key software metrics including Annual Recurring Revenue (ARR), retention, and churn
Guide deal teams in structuring databooks, financial models, and written reports; perform final reviews and ensure deliverables meet firm and client standards
Participate in early scoping, proposal development, and engagement structuring alongside firm leadership
Support business development by building relationships with key deal professionals and identifying opportunities for follow-on work
Mentor and train team members; contribute to recruiting, onboarding, and internal training initiatives
Qualification
Required
5 years of experience in financial due diligence (Transaction Services) or a combination of audit and transaction advisory work
A bachelor's degree in accounting or finance
Strong understanding of financial statements, M&A transaction mechanics, and valuation principles
Excellent written and verbal communication skills with the ability to translate technical concepts to client audiences
Proven leadership in managing complex projects and small teams with precision and responsiveness
Proficiency with Excel and working with large, complex datasets
Preferred
A CPA or progress toward CPA preferred
Direct experience working with software and technology companies—including analyzing SaaS/recurring revenue models and calculating related metrics—or a strong interest in building deep expertise in this sector
