Responsibilities
Commercial Contracts: Draft, review, and negotiate a wide range of commercial agreements, including SaaS, vendor, partnership, and non-disclosure agreements
Corporate Governance & Fundraising: Advise on corporate legal matters, including board governance, equity matters, and future fundraising rounds
Intellectual Property (IP): Develop and manage the company’s IP strategy, including trademarks, patents, and copyright, to protect our core technology and assets
Regulatory & Compliance: Ensure compliance with global data privacy laws (e.g., GDPR, CCPA) and other regulations relevant to the MedTech and SaaS industries
Risk Management: Identify and mitigate legal risks across the organization, providing proactive counsel to leadership and cross-functional teams
Legal Operations: Build and maintain scalable legal processes, including contract management systems, to improve efficiency and support business growth
External Counsel Management: Manage relationships with and serve as the primary point of contact for outside legal counsel on specialized matters
Qualification
Required
Juris Doctor (JD) degree and an active member of the Massachusetts bar
5+ years of relevant legal experience, with a preference for in-house experience at a high-growth SaaS, MedTech, or Life Science company
Strong working knowledge of legal issues specific to the SaaS business model, including licensing, data security, and service level agreements
Familiarity with FDA regulations, HIPAA, and other compliance frameworks relevant to medical devices and life sciences
The ability to be a 'department of one' and handle a wide variety of legal challenges with autonomy and sound judgment
A trusted partner to all levels of the organization, capable of translating complex legal issues into clear, actionable business advice
