Responsibilities
Prepare opinions for commercial real estate finance transactions, including non-consolidation
Review and draft organizational documents for Special Purpose Entity (SPE) structures and closing deliverables
Apply criteria used for bankruptcy-remote entities in securitized lending and Commercial Mortgage-Backed Securities (CMBS) matters
Own timelines, client communication, and deliverables in a fast, high-volume practice
Collaborate with attorneys in multiple locations to ensure consistent, on-time work
Qualification
Required
Juris Doctor (J.D.) / Juris Doctorate (JD) from an ABA-accredited law school
Active US Bar Admission, active and in good standing
3- 10+ years in commercial real estate finance with meaningful opinion experience
Working knowledge of SPE structuring, CMBS diligence, and securitized lending
Excellent writing, document review, and client-facing skills
Preferred
experience with Delaware opinions or Delaware bar admission
