Responsibilities

Lead legal support for SEC filings (Forms 10-K, 10-Q, 8-K)
Conduct research and provide guidance on SEC, NYSE, and corporate governance matters
Advise on corporate governance and transactional issues for U.S. entities and subsidiaries
Support shareholder engagement and governance-related research
Maintain corporate records, including resolutions, consents, and certificates
Administer legal documentation and data for U.S. subsidiaries
Proactively identify legal risks and develop mitigation strategies
Draft and review legal documents with clarity and precision
Stay current with legal trends and implement best practices
Maintain high ethical standards and elevate issues appropriately
Understand key business drivers and industry dynamics
Communicate legal concepts in accessible language
Provide strategic, innovative, and practical legal solutions
Manage multiple priorities in a fast-paced environment
Demonstrate initiative, urgency, and accountability
Solve problems creatively and anticipate emerging issues
Lead projects to successful completion with minimal supervision
Communicate effectively with executives and external stakeholders
Build trust-based relationships internally and externally
Represent PMI with integrity and professionalism

Required

Juris Doctor; licensed to practice law in a PMI jurisdiction
8–10 years of experience in securities, corporate, and transactional law
Strong understanding of government policy and regulatory frameworks
Exceptional interpersonal, communication, and leadership skills
Proven strategic thinking and sound judgment
Ability to manage complex projects and lead cross-functional teams
High attention to detail and confidentiality
Willingness to travel as needed
Deliver high-quality legal counsel aligned with business goals
Maintain confidentiality and handle sensitive information with care
Thrive in high-pressure environments with a results-driven mindset
Exhibit strong organizational and project management skills

Preferred

Experience in both in-house and major law firm settings preferred
