VP of Tax

Responsibilities

Manage the global tax calendar and oversee the timely submission of all tax related filings, including corporate returns, partnership returns and K-1s
Manage the determination of Federal and State tax liabilities on behalf of the Company. Ensure appropriate and timely filing and payment of tax liabilities
While the VP Tax is fully responsible for the tax function, the Company utilizes outside tax advisors - counsel (planning, Section 382 analysis, personal holding company, M&A, etc.) and tax accountants providing compliance services including tax return preparation and ASC 740 calculations. The candidate needs to be capable of managing the services provided including scope, timing and fees
Direct and improve tax planning practices affecting the Company as a whole and/or its individual operating companies or subsidiaries. Formulate and implement company-wide tax policies and procedures
Organize tax records and documentations to drive effective tax planning and to ensure outside advisors use is done efficiently
Oversee maintaining up to date inside and outside tax basis of assets and businesses
Direct and oversee cross-border taxation matters, income tax and procedures to minimize the Company's liability and ensure adherence to relevant legislation
Help identify, evaluate, and advise management on the income tax consequences of current and proposed strategic transactions. Work with advisors to ensure tax positions and analysis are effectively communicated to management and business leaders
Support implementation of global corporate tax initiatives by working closely with internal functions such as Legal, Finance and Treasury and outside advisors
Oversee and manage any federal and state tax audits of US entities, including notices received from taxing authorities
Oversee the US GAAP consolidated quarterly and year-end income tax provisions for the US parent and foreign operations and working with Finance ensure corporate tax provisions and balance sheet accounts are properly stated
Monitor and provide analysis of legislative and regulatory developments. Evaluate potential impact of tax legislation on the company and recommend the proper course of action
Periodically evaluate the firm's legal/tax structure to ensure it appropriately aligns to business needs; recommend changes where appropriate
Supervise and evaluate current internal tax staff and recommend changes in size and needed expertise to the CFO in response to changing business needs and the scope of services required
Work closely with the Business Development team and outside tax advisors on M&A activity including due diligence, structuring, and planning. Working knowledge of tax related issues associated with purchase accounting for the “opening balance sheets” required. M&A also includes divestitures, and the candidate will be expected to advise accordingly

Required

The successful candidate will have a total of 15+ years progressive taxation experience including direction of domestic and international tax planning and compliance
Must demonstrate a command of all aspects of the tax function
Experience in managing various outside tax advisors
Superior collaboration and communication skills, conflict management capabilities, and strong executive presence/composure
The candidate will demonstrate a strong process orientation and a track record of successfully and continually improving the Tax function's operations and efficiency

Preferred

A working knowledge of tax consequences and compliance related to publicly traded partnerships is desirable but not strictly required; however, successful candidate will be expected to obtain such knowledge over a reasonable period
A bachelor's degree in accounting with CPA credentials is desirable
Masters in Taxation, or related advanced degree preferred
