Responsibilities
Experience in drafting and revising commercial leases and purchase and sale agreements
Possess a strong background in title and survey review, and closing purchase and sale transactions
Advise clients regarding entity formation, joint ventures, compliance, and record maintenance
Prepare and negotiate business, broker and consultant engagement letters & contracts
Draft and negotiate confidentiality agreements and letters of intent
Manage data rooms and the due diligence process
Negotiate and document third-party financing
Prepare and finalize documents for mergers, acquisitions, and reorganizations
Draft various types of legal opinions in connection with real estate closings
Oversee closings of multi-property portfolios
Qualification
Required
Admitted to the California State Bar
Over 10 years of experience in commercial real estate transactions, M&A, and corporate law
Excellent at analyzing, negotiating, and drafting, with a special focus on the ability to skillfully redline and edit legal documents
Able to work on their own and manage a large number of transactions
Great at communicating and interacting with others
Preferred
Managing transactions from stem to stern with limited oversight or supervision
Experience as a team leader or manager, with the ability to mentor and supervise junior attorneys and staff
Having a portable book of business, or the potential to develop one, with existing or prospective clients in the commercial real estate or corporate sectors
Demonstrating a proactive and entrepreneurial approach to legal practice, with a willingness to take on new challenges and opportunities
Being a team player, with a collaborative and collegial attitude, and a commitment to the firm's culture and values
Experience in implementing and working with new technological tools to enhance efficiency and productivity in transactional work
