Responsibilities

Extensive experience drafting and negotiating credit facilities, letters of credit and performance and payments bonds required

Familiar with, and comfortable conducting bankability analysis of project documents, and negotiating engineering, procurement and construction contracts, balance of plant agreements, supply agreements and offtake and tolling agreements

Independently negotiate and manage associated security documents, NY-law legal opinions, direct agreements/ consents to collateral assignments and reliance letters

Ability to independently run due diligence of project documents is a must

Required

4 to 6 years of experience in project finance (lender or borrower side)

Extensive experience drafting PF Credit Agreements, New York law-governed Security Documents, Consents to Collateral Assignments, Legal Opinions and Project Documents (i.e., EPC Contracts, Offtake Agreements, Supply Agreements and Legal Due Diligence Reports)

Entrepreneurial and team player

Ability to work independently and collaboratively in a fast-paced environment

Strong academic credentials

Candidate must reside and be licensed or ready to become licensed to practice law in one of these jurisdictions (New York, Miami, Dallas, Houston, Austin or Washington, DC)

Preferred

Large regional, national, or international law firm experience
