[Rödl & Partner USA] Transaction Services Associate
Rödl & Partner USA is a global firm seeking a full-time Transaction Services Associate to support their M&A team. Responsibilities
Participate in buy-side and sell-side transaction projects, providing financial due diligence assistance to European strategic and private equity investors
Communicate with and interview C-level executives of clients and target companies
Understand Target’s business and recognize key performance drivers, business trends, and emerging technical and industry developments
Analyze Target’s past, current and projected performances to understand Target’s profitability and value drivers and to identify non-recurring items and pro-forma adjustments needed to normalize the EBIT(DA) (Quality of Earnings)
Use judgment and accounting knowledge to determine working capital and net debt/ cash definition used in purchase price adjustment mechanisms
Write red-flag and detailed reports summarizing due diligence findings
Assist with post-due diligence advisory, including closing accounts and purchase agreement-related negotiations
Qualification
Required
Bachelor's or Master's degree in Accounting from an accredited college/university
Excellent professional writing skills (English)
Strong command of Microsoft Excel and PowerPoint
Preferred
0-2 years of experience in a public accounting firm
Knowledge in Group Accounting and Business Combinations rules
German communication skills are a plus but are not required
Current or future plans to pursue CPA Exam is preferred
