Direct Counsel is seeking an Experienced UCC Attorney to join a leading international firm. The role involves providing expert counsel on UCC and commercial finance, focusing on complex transactions and collateral matters.

Responsibilities

Counsel internal deal teams on all aspects of UCC and commercial finance, including transaction structuring
Review, draft, and analyze transactional documents with a focus on collateral and intercreditor issues
Provide guidance on a wide range of financing structures: syndicated credit facilities, bridge loans, asset-based loans, notes offerings, mezzanine financings, and fund-level credit facilities
Advise on collateral matters involving both Article 9 personal property and personal property governed by non-UCC regimes
Support restructurings and insolvency matters involving both lender-side and debtor-side clients
Provide opinions and advice on contract law issues, including online contracting, boilerplate provisions, and plain-English drafting standards

Qualification

Required

J.D. and at least 10 years of relevant legal experience focusing on UCC matters
Deep expertise in Article 9 and commercial finance
Prior experience at an Am Law 100 or similarly sophisticated platform
Strong academic credentials
Admission and good standing in the New York bar
