Responsibilities

Advising on all matters relating to the UCC and commercial finance, including the structuring of transactions

Reviewing transactional documents

Focusing on collateral and intercreditor issues in a broad range of financing transactions, including syndicated loan facilities, bridge financings, asset-based credit facilities, notes offerings, mezzanine loans and fund financings

Advising on collateral matters with respect to personal property governed by Article 9 of the Uniform Commercial Code as well as personal property subject to other statutes

Advising debtors and lenders in restructurings and insolvency proceedings

Advising on third-party opinion letters and contract law matters, especially online contracting, plain English drafting, contract drafting, and boilerplate

Required
