Responsibilities

Review and negotiate U.S. and global MSAs, outsourcing agreements, RFPs, NDAs, SaaS/cloud contracts, managed services deals and other client, partner and vendor agreements
Ensure contracts are compliant with U.S. laws and aligned with global standards and client expectations
Advise on U.S. and international data privacy laws (e.g., GDPR, CCPA), export controls, and industry-specific regulations
Monitor legal developments and ensure internal policies reflect global compliance requirements
Structure subcontracting arrangements across regions
Ensure third-party compliance with client obligations and internal governance frameworks
Coordinate with external counsel and internal teams to resolve legal issues efficiently
Work closely with global teams including Sales, Delivery, Procurement, HR, and Compliance
Provide legal training and guidance across business units

Required

J.D. from an accredited U.S. law school; LL.M or international law specialization is a plus
Admission to practice law in at least one U.S. jurisdiction
Minimum 12 years of legal experience, with significant exposure to technology, outsourcing, and global operations
Strong understanding of U.S. commercial law, international contracting, and cross-border compliance

Preferred

Experience working with Fortune 500 clients and global delivery models
Familiarity with agile contracting, digital transformation, and remote service delivery
Ability to work across time zones and cultures
