Responsibilities
Reviewing, drafting and negotiating a wide range of international commercial contracts, particularly engagement and services contracts with Elixirr Group clients and suppliers
Supporting Elixirr Partners and Principals with their client engagements and negotiation of contracts
Working with the Elixirr acquisitions team to provide in-house legal advice in respect of acquisitions of new businesses as part of Elixirr’s growth strategy
Providing support in respect of the due diligence process and post completion corporate and commercial matters
Working with the Elixirr Operations team on internal matters such as commercial contracts, employment related contracts, share option arrangements, policies and data protection, and on the post-closing integration of acquired businesses
Operating independently in consultation with the General Counsel as the sole US based legal counsel
Qualification
Required
Admitted to practice in California, Texas or New York
Minimum 4 years post qualification experience in a good US or International law firm
Previous experience of working as an in-house lawyer within a fast growth culture
A generalist with sound knowledge and experience of commercial contracts including relevant intellectual property and data protection issues in commercial contracts and a sound understanding of liability and indemnities
Experience of corporate governance
Fluency in English, written and spoken
Preferred
Experience of public company related work
Experience of employment law
Experience of negotiating contracts governed by other legal jurisdictions
