This role involves working on sophisticated domestic and international transactions for high-profile clients across diverse industries, providing seamless, full-service counsel.

Responsibilities

Draft, review, and negotiate transaction documents such as letters of intent, asset purchase agreements, stock purchase agreements, and merger agreements
Manage due diligence processes, including review of contracts, corporate records, and regulatory filings
Collaborate with colleagues in tax, regulatory, finance, and litigation on transaction-related issues
Participate in client meetings and calls, providing legal and strategic input
Assist with closing processes, including preparation of deliverables and post-closing obligations

Qualification

M&A experienceJuris Doctor (J.D.)Drafting skillsCross-border transactionsNegotiation skillsProject managementClient managementTeam collaboration

Required

Juris Doctor (J.D.) from an accredited law school
Admission to the Florida Bar, or willingness to gain admission promptly
4–6 years of substantive M&A and general corporate experience with a national or regional law firm
Strong drafting, negotiation, and project management skills
Ability to work independently and as part of a team in a high-volume practice
Demonstrated success in a fast-paced, team-oriented environment

Preferred

Experience with cross-border transactions
Familiarity with private equity transactions
Comfort working directly with clients and managing multiple deals simultaneously
