Responsibilities
Draft and negotiate credit agreements, intercreditor agreements, and collateral documents relating to asset based lending
Advise on first lien, second lien, and split-lien structures in financing transactions
Conduct legal due diligence for ABL transactions and assess risks associated with collateral
Collaborate with internal stakeholders and clients to develop legal strategies
Assist in closing transactions and ensure all documentation is accurate and compliant with legal standards
Stay updated on changes in legislation affecting asset based lending and provide guidance accordingly
Provide training and mentorship to junior attorneys and staff on asset based lending matters
Qualification
Required
Juris Doctor (JD) degree from an accredited law school
Active license to practice law in MA
3+ years of experience in finance law, with a focus on asset based lending
In-depth knowledge of ABL transactions and lending structures
Strong understanding of UCC Article 9 and its application in asset based lending
Excellent negotiation, drafting, and communication skills
Ability to work independently and collaboratively in a fast-paced environment
