Corporate Counsel – M&A and Transactions

The Corporate Counsel – M&A and Transactions will provide strategic and practical legal advice, overseeing complex mergers, acquisitions, and other healthcare transactions to align with business objectives.

Responsibilities

Draft, review, and negotiate complex agreements including mergers and acquisitions, corporate finance transactions, joint ventures, strategic alliances, and internal reorganizations
Ensure compliance with healthcare laws and regulations, including Stark Law, Anti-Kickback Statute, HIPAA, and fraud and abuse laws
Identify, assess, and manage legal and business risks associated with contracts and transactions
Work closely with internal stakeholders across finance, operations, and compliance to align transactions with business objectives
Conduct and assist with legal due diligence in connection with corporate transactions, providing strategic and timely leadership to internal stakeholders

Required

Juris Doctor degree from an accredited law school
Active admission and license to practice law in either California or Washington
At least 10 years of relevant experience (some law firm experience a plus) with a focus on transaction, commercial contracting, and healthcare-related matters preferred
Strong proficiency in drafting and negotiating agreements related to mergers and acquisitions, corporate finance transactions, joint ventures, strategic alliances, and internal reorganizations
Superior drafting, negotiation, and analytic skills, alongside the ability to provide practical solutions in a fast-paced environment
Ability to recognize and weigh business and legal risks, think strategically and advance practical solutions
Exceptional communication skills, both written and verbal, with the ability to convey complex legal concepts to non-lawyers

Preferred

Experience with entity formation, corporate finance, and health care organizations preferred
