Corporate Counsel
Sphera is a leading global provider of enterprise software and services that enables companies to manage and optimize their environmental, health, safety and sustainability. The Corporate Counsel will play a key role in supporting the commercial needs of Sphera's operations and will provide legal counsel across various business teams, while managing complex commercial agreements.

Responsibilities
Partner with senior legal team members to support the commercial needs of Sphera’s fast-growing global operations, including developing and maintaining working knowledge of Sphera’s business by building positive relationships with the relevant business team members
As requested, provide counsel to members of HR, Finance, IT, Services, Product or Marketing teams on legal matters, as appropriate (including employment law, intellectual property, compliance, corporate governance and subsidiary management, M&A, data privacy, dispute resolution and/or others)
In collaboration with legal team leaders, interact with global outside counsel, as appropriate
Review and prepare complex commercial agreements, including SaaS/software, professional services, consulting, licensing, and vendor agreements, as well as a wide variety of other types of legal documents and contracts, with global and regional scope
Support legal team leaders on implementing and maintaining team processes that align with business strategy
May manage contract managers or paralegals
Ensure that day-to-day work aligns with company and team policies
Qualification
Required
Experience working with global teams at a multinational business, including experience addressing cross-border legal issues
Demonstrated ability to understand and clearly communicate complex legal issues to business teams and counterparties
Demonstrated project management skills
Demonstrated ability to develop collaborative and successful relationships with members of the sales organization, including in managing B2B contracts (SaaS experience preferred)
Excellent writing, negotiation, and drafting skills
Good knowledge of data privacy, security, and IP issues relevant to SaaS/software providers
Knowledge of one or more other substantive areas is required: employment law, corporate governance/subsidiary management, compliance, M&A or others
Demonstrated ability to flag issues and propose solutions to complex problems
Excellent attention to detail
Proactive team player
Ability to work in a fast-paced environment and maintain poise in stressful situations
JD or other equivalent law degree required. (Common law education or equivalent knowledge strongly preferred.) Licensed to practice law in applicable jurisdiction of residence required
