Corporate & Regulatory Counsel

Responsibilities
Draft, review, negotiate, and manage commercial contracts, including marketing agreements, manufacturing services agreements, partnership agreements, consulting agreements, research agreements, vendor agreements, license agreements, NDAs and data privacy addendum
Provide strategic legal counsel to business stakeholders on marketing activities, growth initiatives, product launches, partnerships, licensing and other commercial transactions, as well as day-to-day activities and operations across all functions
Participate in cross-functional project teams (e.g., new feature/product launches, international expansion, marketing initiatives) to identify legal/regulatory risks and help shape strategic decision-making
Assist in board and governance matters, including preparing board resolutions and minutes and legal and regulatory updates for senior management and the board of directors
Monitor and manage regulatory obligations. Develop, maintain and implement policies and processes to ensure compliance with applicable laws and regulations, particularly those relating to data privacy, data security, consumer protection, and relevant industry standards
Work closely with product and engineering teams to support privacy/security program initiatives, respond to regulatory inquiries, monitor emerging regulatory developments and advise on impact to business
Assist with internal training and awareness programs on legal developments, regulatory compliance, and contracting best practices and policies
Act as a thoughtful business partner, support a fast-moving culture, flexible teamwork, and pragmatic solutions to support growth while protecting the company
Qualification
Required
J.D. from an accredited law school and admitted to practice in at least one U.S. jurisdiction
Prefer a minimum of 3 years of experience in a law firm and/or in-house legal department
Experience drafting, negotiating and managing commercial contracts
Strong regulatory exposure, preferably with experience in data privacy and/or data security, and a willingness to engage in privacy/security advisory work
Able to rapidly interpret relevant laws/regulations, provide highly practical, actionable advice, and implement pragmatic compliance solutions
Excellent stakeholder management, communication and collaboration skills; able to partner with business teams and translate legal/regulatory requirements into practical business-friendly outcomes
Strong organizational skills, problem-solving mindset, attention to detail and the ability to apply judgment in ambiguous environments
