Responsibilities

Advise on all aspects of project financing, including tax equity, debt financing, and other capital structures
Draft, review, and negotiate loan agreements, credit facilities, security documents, intercreditor agreements, and tax equity financing agreements
Structure and negotiate residential solar fund transaction and ancillary documents
Provide legal guidance on capital raises, joint ventures, and other transactions related to infrastructure and renewable energy projects
Advise on risk management and mitigation strategies, particularly regarding financial structuring, tax implications, and contractual obligations
Support due diligence efforts and corporate structuring issues
Work closely with finance and tax teams to align legal strategy with business objectives
Liaise with external counsel, lenders, investors, and regulatory bodies to facilitate transactions
Provide internal training and guidance on best practices for project finance transactions and risk mitigation

Required

Excellent contract negotiation and drafting skills
Strong financial acumen with an understanding of project finance modeling
Ability to work independently while collaborating across teams
Exceptional problem-solving, analytical, and communication skills
High attention to detail and ability to manage multiple transactions simultaneously
J.D. degree from an accredited law school and active bar membership in at least one U.S. jurisdiction
7+ years of legal experience with a focus on project finance, energy transactions, and infrastructure development (law firm and/or in-house experience preferred)
Strong knowledge of debt and equity financing structures, including tax equity and renewable energy credit markets
Experience negotiating complex project agreements and financing documents
Strong understanding of FERC, IRS, DOE, and state-level energy regulations, with the ability to interpret and apply knowledge to business decisions
Applicants must be authorized to work in the US on a full-time basis
