Vice President of Legal Affairs

Golden State Clean Energy is seeking an experienced and business-minded Vice President of Legal Affairs to support the company’s contractual strategy and operations across all aspects of renewable energy project development. This position plays a key role in shaping the corporate and transactions legal framework, supporting project execution, and driving strategic transactions.

Responsibilities

Support core transactions central to renewable energy project development, including:
Power Purchase Agreements (PPAs) and interconnection agreements
Real estate and land-use transactions, including site acquisition, leases, and easements
Supply chain, EPC, and vendor agreements
Regulatory and permitting matters with local, state, and federal agencies
Manage corporate governance and compliance processes to ensure sound operations and adherence to applicable laws and policies
Support corporate finance activities, including capital raises and project or portfolio financing
Support M&A and strategic partnership transactions, including project company sales, joint ventures, and equity investments
Coordinate work with outside counsel, ensuring alignment with business objectives and cost efficiency

Required

J.D. from an accredited law school and active bar membership in good standing
Minimum 7 years of experience practicing law at a reputable law firm and/or in-house legal department
Proven track record supporting renewable energy or infrastructure project development, including transactions, permitting, and finance
Strong understanding of energy industry agreements (PPAs, EPCs, interconnection, etc.) and project lifecycle
Exceptional business judgment, negotiation skills, and ability to collaborate cross-functionally with development, finance, and operations teams
Comfortable working in a fast-paced, growth-stage environment with a balance of strategic and hands-on responsibilities
