They are seeking an Associate General Counsel to partner with various business units on strategic initiatives, manage litigation, and ensure legal compliance, particularly focusing on data security and privacy.

Responsibilities

Partners with Holman Growth Ventures on specific strategic initiatives and investment transactions, including Corporate Venture Capital work

Partners with Holman Growth Ventures and one or more Businesses to draft and negotiate definitive contracts to commericalize portfolio company offerings

Partners with Holman Growth Ventures and one or more Businesses to support development of new products, services, alliances, and transactions

Partners with Holman Human Resources / Human Capital function to support policy development and implementation, and general employment matters (including immigration)

Manages litigation, investigations, and administrative proceedings for assigned Businesses

Supports legal compliance, with an emphasis on data security and data privacy

Seeks to understand the Businesses and Functions, in order to provide practical advice, responding to needs, and enabling results

Advises and resolves both routine issues, and complex legal questions, independently, with colleagues, and with outside counsel

Identifies and mitigates material risk, and supports enterprise risk management activities

Establishes and develops relationships with outside counsel, including global legal relationships established by Senior Vice President & General Counsel

Assists the Vice President & General Counsel on other matters, when requested

Required

Juris Doctor (J.D.) degree from an accredited university

Passed the bar exam in at least one state (If not admitted in NJ, will secure Mandatory NJ Inhouse License)

Minimum four to six years' work experience in a law firm environment, preferably a 250+ lawyer firm, preferably handling a variety of business and transactional matters, including M&A, financings, joint ventures, investment transactions and complex commercial contracts

Work experience (four to six years') in an inhouse counsel position (preferably a B2B contract services provider), or serving as external counsel to start-ups and emerging businesses, also desired

Work experience should include contracts and commercial matters, drafting / negotiating client services contracts (SaaS ideal), contract compliance and client retention activities, inhouse transactional (e.g. M&A, joint ventures), litigation management, counseling and compliance matters

Excellent analytical, communication, legal research, and writing skills

Excellent knowledge of Microsoft Office products, and must be a fast and accurate typist

Comfortable with learning and using SaaS applications and other apps
