They are seeking an Assistant General Counsel, Corporate & Securities who will manage public company obligations, drive efficiency in legal operations, and act as a key advisor to senior leadership and the Board of Directors.

Responsibilities

Own the legal portions of all SEC filings (10-K, 10-Q, 8-K, proxy statements, registration statements) and ensure ongoing compliance with SEC and exchange requirements

Lead planning for the annual meeting of stockholders

Drive M&A, divestitures, strategic investments, corporate financings, and other complex corporate transactions from term sheet through closing

Negotiate and draft transaction agreements, disclosure documents, and corporate governance materials

Oversee Section 16 filings and related reporting obligations

Prepare and manage board and committee meeting materials in partnership with senior leadership

Manage global subsidiary governance, draft organizational documents, and maintain corporate records

Partner with Communications, Investor Relations, Accounting, Treasury, and Tax on cross-functional initiatives

Control Corporate & Securities legal budgets, manage law firm relationships, and approve related expenses
