Responsibilities

Maintain corporate records and entity databases for U.S. and international subsidiaries

Prepare and file annual reports, board resolutions, meeting minutes, and other corporate documentation

Coordinate formation, dissolution, and restructuring of legal entities as needed

Monitor corporate compliance deadlines and ensure timely filings with relevant authorities

Assist in preparation and maintenance of corporate governance policies and internal procedures

Maintain and update the organizational charts using appropriate tools and platforms

Manage and maintain active engineering, contractor, and business licenses across states

Track renewal dates and coordinate timely submissions to avoid lapses

Liaise with regulatory agencies, licensing boards, and internal departments to ensure compliance

Assist with applications for new licenses as business expands into new jurisdictions

Coordinate with internal legal counsel and external legal advisors as necessary

Support legal team in other administrative or compliance-related tasks, including document management and audits

Coordinate with key internal stakeholders across departments—including Tax, Treasury, and Sales—as needed to ensure alignment and support

Required

Paralegal certificate or equivalent legal training required

Minimum 5 years of experience in a corporate legal department or law firm, with a focus on corporate governance and corporate licensing

2-5 years corporate law or paralegal experience required
