Responsibilities

Review, draft, and negotiate a wide variety of commercial agreements in support of LegalZoom’s business operations, such as technology services, SaaS, licensing, employee benefits and marketing agreements

Act as a trusted partner to business stakeholders to swiftly address business risk and commercial needs

Develop and maintain form documents, templates and legal playbooks to streamline transactions

Structure, negotiate, and draft strategic partnership transactions, addressing legal risk in business-centric ways with the goal of strengthening partnerships and advancing opportunities

Lead, with the support of external counsel, M&A transactions, including due diligence, negotiations, and deal structuring

Draft LOI, purchase agreements, and related documents in connection with M&A transactions

Collaborate with internal stakeholders and external counsel to ensure smooth execution of M&A transactions

Drive continuous improvement in legal processes and documentation standards

Other duties as assigned

Occasional travel may be required as needed

Required

5+ years of experience in a law firm or corporate legal department with primary emphasis on M&A and commercial transactions

Experience drafting and negotiating a variety of commercial agreements, including SaaS and tech agreements, marketing agreements and vendor agreements

Persuasive communicator (written and verbal) and the ability to clearly communicate complex ideas in an understandable way so our internal teams can act on them

Strong transactional skills, excellent judgment and the ability to balance attention to detail with practical, solution-oriented advice

You can work autonomously and independently with guidance but are also comfortable working collaboratively as part of a team

A self-starter with the ability to prioritize workload, self-manage projects, handle multiple tasks, and meet business deadlines

Must have a J.D. and be an active member in good standing with the bar of any state
