Attorney – Corporate Governance
Continental Corporate Services, Inc. is seeking an Attorney specializing in Corporate Governance. The role involves advising on corporate governance matters, supporting boards of directors, and ensuring compliance with applicable regulations.

Responsibilities
Provide support for boards of directors and board committees, including preparation of meeting materials, resolutions and consents, committee charters, minutes, and relevant research
Advise on compliance with other applicable regulations, including Delaware law, Sarbanes-Oxley, and applicable governance requirements and best practices
Oversee corporate governance matters involving senior officers and directors, including director independence and related person transactions
Assist with general corporate matters, including strategic transactions and firmwide initiatives related to subsidiary management and corporate governance
Provide advice and counsel on corporate secretarial matters, including subsidiary governance best practices, constituent documentation for subsidiaries, and transactions impacting the corporate structure
Qualification
Required
Excellent writing, editing, and oral communication skills, with keen attention to detail
Flexibility and ability to work in a fast-paced environment and manage multiple projects simultaneously while prioritizing responsibilities and various deadlines
Ability to maintain a high level of professional integrity, discretion, and confidentiality
J.D. with 2-3 three years of law firm or in-house experience
Member in good standing of the bar
