Conflicts Staff Attorney (QA & Compliance)
Cooley LLP is seeking a Conflicts Staff Attorney to join the Business Intake and Conflicts team. The role is essential for ensuring compliance with ethical obligations and risk management policies, while assisting in onboarding new business and managing conflicts of interest.

Responsibilities
Review and analyze client-imposed engagement letters and outside counsel guidelines
Upload, code, and quality control client-related terms in the Terms database
Draft conflict waivers and engagement letters
Collaborate with the General Counsel’s office and BIC Leadership on risk-related matters
Maintain up-to-date knowledge of the American Bar Association (ABA) Model Rules of Professional Conduct as adopted in each state in which the firm maintains an office, and jurisdictional differences in all states, countries and practice areas in which the firm conducts business
Monitor ABA and jurisdictional rules for changes. Suggests modifications in firm policy to the Associate Director of Conflicts for approval
Analyze and resolve conflicts of interest related to new business and new hires
Effectively work with Managers, Directors, BIC team members and firm attorneys to obtain the relevant information to make determinations on conflict issues
Draft and review ethical screens, conflict waivers and risk management engagement letter provisions
Assist with administering the Firm’s client engagement terms program including review and coding of outside counsel guidelines
Conduct research projects as assigned relating to conflicts of interest issues
Conduct advanced level research projects on corporate affiliations and corporate relatedness
All other duties as assigned or required
Qualification
Required
After orientation at Cooley LLP, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications
Ability to travel, as required
Ability to work extended and/or weekend hours, as required
3+ years of conflicts resolution experience, contract review, or law firm risk management
JD degree
Familiarity with ethical walls, waiver templates, and client terms databases
Strong analytical and communication skills
Active member in good standing or registered in-house counsel of the bar(s) in all jurisdictions from which you regularly work, as well as the jurisdiction in which your assigned office is located, if applicable
