Asset Management - Special Situations Private Credit Legal Consultant - Vice President
Chase is a leading global financial services firm, and they are seeking a Vice President - Special Situations Private Credit Legal Consultant. The role involves supporting the Global Special Situations Group in complex cross-border private credit transactions and managing legal documentation and compliance efforts.

Responsibilities
Prepare and refine transaction documents using GSS templates and precedents under supervision of the Head Legal Analyst and support execution of NDAs, engagement letters, commitment papers, intercreditor agreements, amendments, and ancillary documentation
Lead first line negotiations on documentation, escalating to internal approvers as required and develop commercial judgment and stakeholder management to drive timely, market aligned outcomes
Conduct targeted legal research across relevant jurisdictions and maintain awareness of evolving legal, regulatory, and market developments affecting private credit
Partner with CIOs, analysts, operations/COO, and internal Legal & Compliance in New York and London on transaction workflows, closing checklists, conditions precedent/subsequent, and post closing portfolio updates and assist with fund level legal, regulatory, and governance tasks, including policy implementation and oversight support
Assist in instructing, managing, and benchmarking external counsel; review advice for practical, risk aligned implementation
Maintain accurate document and precedent repositories; support matter tracking and knowledge capture and identify and implement process improvements, automation opportunities, and playbook enhancements to increase efficiency and deal velocity
Qualification
Required
2+ years' legal experience
Strong academic background; U.S. law degree preferred
Demonstrated interest in private credit, special situations, restructuring, and financial markets
Excellent drafting, issue spotting, and problem solving skills with meticulous attention to detail
Confident communicator with the ability to build rapport across time zones and functions
Comfortable in a fast paced environment with multiple concurrent matters and deadlines
High integrity, discretion, and commitment to client confidentiality and data protection
Proficient in Microsoft 365 (Word/Track Changes, Excel), document management systems, and legal research tools
Authorization to work in the United States
Preferred
Preferably in finance/restructuring/private credit at a leading law firm or in house at a credit fund, bank, or asset manager
Paralegal experience/training is a plus for candidates on a legal track
