Responsibilities

Advise companies on federal and state licensing, corporate structuring, and transactional strategies for entry into, expansion within, or withdrawal from communication markets
Identifying the correct regulatory classification for products and services (e.g., interexchange, CLEC, broadband, wireless, VoIP, reseller) and selecting optimal state/federal filing pathways
Preparing and submitting applications, notices, petitions, and other regulatory filings before the Federal Communications Commission (FCC) and state public utility commissions (PUCs)
Structuring corporate entities, investment vehicles and ownership regimes (e.g., LLCs, holding companies, joint ventures, private equity/venture capital backed structures) so as to align with regulatory obligations and optimize market entry or exit strategies
Coordinating multi-jurisdictional roll-outs or shutdowns of services, managing multiple agencies’ deadlines and frameworks, and advising on regulatory implications of control, ownership transfers, or reorganizations
Lead or support regulatory due diligence in mergers, acquisitions, investments or reorganizations — with a sharp focus on how ownership, control and financing arrangements trigger regulatory approval obligations:
Evaluate communications regulatory compliance history of target companies: FCC filings, state PUC involvement, tax/fee exposure, USF/USAC reporting
Prepare and execute FCC Section 214 transfer of control filings, international bidding or approvals, state notices/ approvals of jurisdiction, and related regulatory reviews
Advise on timelines, coordination among legal/transaction teams, regulatory risks, and interplay between communications, corporate and investment law
Assist clients in aligning transaction structures (equity vs. asset, membership interests, LLC units, convertible debt) with regulatory frameworks to avoid unintended obligations
Counsel clients on federal, state and local tax and regulatory fee obligations specific to communications and technology providers. Work encompasses:
Advising on revenue classification, sourcing and allocation for regulatory fee purposes (USF, 911, NANP, LNP, TRS, state universal service programs, interstate/state contributions)
Building compliance frameworks: aligning operations, reporting systems and internal controls to manage tax and fee exposure
Representing clients in audits or investigations from the Universal Service Administrative Company (USAC), state tax authorities, PUCs, or the FCC — including developing response strategies, managing document production, and supporting negotiation or litigation
Advising on refunds, carve-outs, risk mitigation, planning for tax/regulatory lifecycle across products and jurisdictions
Develop forward-looking compliance programs and risk-mitigation strategies tailored to emerging technologies, regulatory change and evolving business models:
Perform compliance gap assessments; produce detailed written reports with recommendations for process enhancements
Draft internal policy manuals, training materials, governance frameworks for clients deploying new services or entering new regulatory domains
Work closely across legal, tax, regulatory and operations teams to create robust compliance infrastructures with ownership, metrics and escalation paths
Monitor rulemakings, enforcement trends and regulatory interpretations at the FCC, state PUCs, FTC, and translate implications for clients’ business models and processes
Advise clients on issues related to broadband and infrastructure deployment, pole attachments, rights-of-way, easements, land-owner dispute resolution, and railroad crossings:
Counseling on easements and rights-of-way for broadband/fiber and communications facility deployment
Advising on utility pole attachments (both wireline and wireless), make-ready work, rights and obligations of attachers and pole/utility owners, and litigation or regulatory disputes around pole access and cost allocation
Managing permitting, funding (including federal/state broadband grants) and deployment issues for broadband infrastructure along public rights-of-way and in railroad crossing contexts
Handling landowner negotiations, easement acquisition and dispute resolution where communications infrastructure interfaces with private property, railroads, public roads, and utility corridors
Coordinating multi-state and local planning processes, tracking deadlines and approvals, and guiding clients through the intersecting regulatory, property and tax dimensions of infrastructure projects

Required

J.D. from accredited law school and active bar membership; Virginia or D.C. bar preferred
7-15 years of relevant experience in communications, technology, infrastructure, regulatory or administrative law
Demonstrated experience with FCC regulations, state PUC regimes, regulatory filings, multi-jurisdictional complexity
Experience or strong familiarity with corporate structures, investment vehicles, M&A and how they trigger regulatory obligations
Excellent legal research, writing, analytical skills and ability to manage time-sensitive multi-task matters
Strong client-service mindset, ability to independently manage matters, coordinate with partners, and deliver high-quality work under tight deadlines
