Responsibilities
Advise private equity firms and their portfolio companies in a variety of complex transactions, including equity investments, co-investments, investment management, and other general corporate matters
Draft and negotiate limited liability company, limited partnership, shareholder and investor rights agreements and other ancillary transaction documents
Meet the day-to-day requirements of private equity fund and portfolio company clients
Manage equity arrangements, including incentive equity terms
Familiarity with private equity fund documentation and structures and mergers and acquisitions
Qualification
Required
A JD degree from an ABA-accredited law school with top academic credentials
At least five years of experience advising private equity firms and their portfolio companies in a variety of complex transactions
Texas bar admission or the ability to become admitted in Texas
Strong communication and writing skills
Preferred
Experience in drafting and negotiating limited liability company, limited partnership, shareholder and investor rights agreements and other ancillary transaction documents
Experience with management equity arrangements, including incentive equity terms
Familiarity with private equity fund documentation and structures and mergers and acquisitions
