Responsibilities

Work closely with the Strategy and Corporate Development team to advise S+N businesses on M&A transactions and manage M&A transaction processes
Perform or oversee due diligence investigations and reviews of businesses being considered for transactions in order to obtain an understanding of relevant operations and risks
Manage and supervise outside counsel as necessary, ensuring clarity of instruction and efficiency on cost management
Participate in implementation of Legal team strategy, administration and improvement initiatives as appropriate
Act as liaison to Company Secretariat and other work as assigned by Associate General Counsel, Transactions & Corporate

Required

LLB/Bachelor degree from a well-respected institution required as a minimum
Admitted to practice in New York and/or with American Bar Association Membership
Post qualification experience: the role would suit someone with more than 5 year's post-qualification experience at a top tier US M&A practice
Fluent in written and spoken English
Excellent analytical, communication and interpersonal skills, strong ability to communicate complex issues in concise terms
Able to work autonomously within the role and operate at a senior professional level advising the leadership team and management teams within the business
A keen interest in and ability to understand the business, its strategies, its people and its organisational structures
Ability to work collaboratively with others, both within and outside of Legal team
Strong time management and prioritisation skills, coupled with an ability to manage both internal and external stakeholders at all levels of the organisation
Demonstrated ability to work across cultures and time zones and to exercise strong business and legal judgement

Preferred

In house experience would be useful but is not a requirement
Experience in healthcare/pharma/medical devices would be useful
