Responsibilities

Working on public and private debt and equity offerings
Advising clients on day-to-day governance matters including SEC and stock exchange compliance
Public company disclosure obligations
Other business and transactional matters
Representing issuers and underwriters in IPOs and follow-on public offerings
Representing public companies in PIPEs, mergers and acquisitions, SEC reporting and corporate governance matters

Qualification

Required

Three to six years of experience at a large law firm working on public and private debt and equity offerings
Experience with Securities Exchange Act of 1934 reporting
Ability to advise clients on day-to-day governance matters including SEC and stock exchange compliance
Knowledge of public company disclosure obligations
Experience with other business and transactional matters
Candidates must be admitted to the state bar of their preferred office location
