Senior Commercial Counsel

Responsibilities
Lead end-to-end drafting, review, and negotiation of complex commercial agreements, including MSAs, order forms, and DPAs with enterprise and mid-market customers
Partner closely with Revenue Recognition, Finance, and Deal Desk to ensure agreements comply with internal policies, ASC 606 principles, and public company controls; escalate and obtain approvals as needed
Contribute to developing and maintaining contract templates and playbooks, to increase velocity while managing risk
Advise on data privacy and security matters related to commercial transactions
Collaborate with Security and Product teams to address customer security questionnaires and align customer commitments with Braze’s controls (e.g., SOC 2, ISO 27001)
Create and deliver training for Sales and other stakeholders on contracting best practices, privacy/security commitments, and internal approval processes
Monitor legal and regulatory developments impacting commercial terms and data protection; update templates and guidance accordingly
Support occasional strategic projects (e.g., international expansion, new market entry) as needed
Qualification
Required
5–7 years of contract negotiation and/or commercial law experience required
Tech industry and/or in-house experience supporting Sales and GTM teams required; SaaS strongly preferred
Strong experience negotiating MSAs, DPAs, and enterprise customer agreements; comfort negotiating directly with sophisticated procurement counsel
Excellent negotiation, drafting, and analytical skills with a pragmatic, business-oriented approach
Ability to manage high-volume, fast-paced workloads, prioritize effectively, and operate independently while being a collaborative team player
Sound judgment and strong communication skills; adept at translating complex legal concepts into clear, actionable guidance for non-lawyers
Law degree and authorization to practice law in California required
Preferred
Data privacy knowledge and experience preferred; familiarity with common security frameworks (e.g., SOC 2, ISO 27001) a plus
Experience with contract operations and tools preferred
