Assistant General Counsel

Responsibilities
Provide legal counsel on fundraising and capital market transactions, including public and private offerings and debt financings
Draft and review securities-related documents
Collaborate with internal and external stakeholders to facilitate successful transactions
Provide legal advice and support in connection with mergers and acquisitions
Review, draft and negotiate core transaction documents including purchase agreements, transition services arrangements and ancillary documents
Handle due diligence on complex transactions
Ensure all appropriate internal stakeholders and functional partners are engaged in reviewing and mitigating transaction risks
Support the Board of Directors and executive management in matters related to corporate governance
Assist in preparation and review of Board of Directors and Committee materials
Advise on best practices and emerging trends in corporate governance
Draft, review and negotiate a variety of contracts, agreements and legal documents related to the Company’s operations
Develop and continue to improve templates for contracts that are used repeatedly in our work process; create templates and playbooks to streamline cross-functional collaboration and raise awareness on relevant issues and processes
Ensure that legal risks are appropriately identified and mitigated in contractual relationships
Identify legal and regulatory risks associated with the Company’s operations and develop strategies for mitigation
Collaborate with other departments to implement risk management policies and procedures
Ensure compliance with the Company’s policies and procedures
Negotiate offer letters, consulting agreements, retention agreements and equity grants
Handle termination related matters
Negotiate sublease agreements
Assist General Counsel in dispute resolution and complex litigation matters, including drafting legal pleadings, managing discovery, negotiating settlements, and managing internal and external stakeholders
Qualification
Required
7+ years experience as a licensed attorney, in a leading law firm and/or experience as a corporate generalist in-house
Juris Doctor (JD) from an accredited law school; active admission to a state bar
In-house experience, dealing with compliance, corporate securities, mergers and acquisitions, corporate governance, contract negotiations, compliance/risk management, human resources, real estate and litigation related matters
Strong analytical, problem-solving and decision-making skills
Outstanding written and oral business communication skills
Excellent drafting and negotiating skills
Familiar with a wide variety of general corporate and transactional work
Creative problem-solving skills to assist in meeting business needs and seizing new opportunities, while mitigating risk and managing key relationships
Ability to independently provide business-focused legal advice on all manner of legal matters and risks impacting the Company's business
Strong commitment to quality work product and organization ethics, integrity and compliance
Excellent organizational skills and the ability to multi-task multiple, complex priorities
Ability to work collaboratively in a fast-paced and dynamic environment
Experience with public company matters and corporate securities, including SEC regulations, compliance and reporting requirements
Ability to draft clear, concise, and accurate legal positions to internal clients at all levels of the organization
Strong business acumen – the ability to be forward-thinking and innovative while understanding our business needs and limitations
Preferred
Public company experience, dealing with compliance, corporate securities, mergers and acquisitions, corporate governance, contract negotiations, compliance/risk management, human resources, real estate and litigation related matters
Experience in a start-up company, including taking a company through IPO
Experience in the e-commerce/3PL space
Preferably based in Houston, Texas, but remote candidates with relevant experience will be considered
