Responsibilities

Assist in drafting and negotiating various commercial agreements, including but not limited to, customer and supplier agreements, technology agreements, asset and share purchase/sales agreements, transition services agreements, consulting and employment agreements, tax matters agreements, IP license agreements, etc
Effectively provide counsel and support for corporate governance related matters, including, but not limited to, preparation of materials for board and committee meetings, annual stockholder meetings, etc
Effectively provide counsel and support for commercial transactions, including but not limited to, merger, acquisition, and divestiture activities, integration or divestment processes projects, and entity management and internal restructuring projects; and
Effectively provide counsel and support for global corporate legal matters, including but not limited to, environmental, social and governance, marketing and communications, tax, treasury, manufacturing and operations, and investor relations related matters, on as needed basis

Required

Juris Doctorate from a nationally-accredited law school with strong academic credentials
Member in good standing of a state bar
4-6 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic and international operations
Ability to perform legal research and compile, analyze and interpret data. Requires attention to detail and strong analytical and communication skills
Demonstrated strong broad-based experience in various areas of law
Demonstrated strong experience with commercial transactions, including drafting and negotiating transaction documentation
Demonstrated strong experience with general corporate and business matters including operating agreements, bylaws, policies, and procedures
Collaboration. Ability to be a good team player by helping others in the legal department and other Vertiv departments, and by being versatile, positive, and diplomatic
Client Service. Ability to make positive impressions on clients (internal and external) of the legal department by being polite, responsive, professional and helpful to users of legal services. Lives and displays in actions Vertiv's values, and provides candid and constructive counsel
Communication. Ability to explain and advise clients of the facts and express points of view clearly and logically in written and oral communications. Must have excellent writing and communications skills, as well as practical and creative problem-solving skills
Planning. Ability to prioritize tasks logically and plan work efficiently to maximize the administrative support for legal function available from limited resources
Judgment. Ability to discriminate relevant from irrelevant information and significant/material issues from insignificant/immaterial issues
