Responsibilities

Advise clients on complex executive compensation and employee benefits issues in the context of M&A, private equity transactions, IPOs, joint ventures, and restructurings
Counsel founders, CEOs, senior executives, and boards on the design, negotiation, and implementation of executive employment agreements, equity incentive plans, deferred compensation arrangements, change-in-control protections, and performance-based pay
Provide strategic advice on tax and ERISA compliance issues related to equity compensation and nonqualified deferred compensation programs
