Responsibilities
Advise on distressed credit, special situations lending, and opportunistic investment transactions
Support workouts, restructurings, amend‑and‑extend transactions, forbearances, and enforcement actions across multiple jurisdictions
Work with trading desks on distressed‑debt acquisitions and dispositions, including claims trading and bankruptcy‑related instruments
Provide guidance on bankruptcy law, creditor‑rights issues, and emerging developments impacting the credit and restructuring markets
Partner with outside counsel to manage litigation, restructuring processes, and complex negotiations
Review, draft, and negotiate a wide range of documentation, including:
Intercreditor agreements
Restructuring support agreements
Credit and security documentation
NDAs, assignment agreements, and trading docs
Support internal governance, risk‑management reviews, and regulatory considerations related to distressed assets and special situations
Collaborate with cross‑functional teams—Credit Risk, Capital Markets, Investment Banking, and Special Assets—to drive outcomes and mitigate legal risk
Qualification
Required
Juris Doctor (JD) degree and admission to practice law in New York
Minimum 5+ years of experience in trade finance law within a major law firm or financial institution
Strong knowledge of warehouse lending structures, letters of credit, and supply chain finance
Familiarity with corporate governance requirements in a banking environment
Excellent drafting, negotiation, and communication skills
