Responsibilities
Providing legal support and leadership for (i) corporate transactions including mergers, acquisitions, divestitures, joint ventures, and complex commercial arrangements, (ii) strategic transactions including joint ventures and private equity investments and other commercial arrangements, and (iii) financial transactions including credit facilities, debt offerings, and other credit support arrangements. This includes direct drafting of documents, as well as managing outside counsel as applicable
Working collaboratively with the Deputy General Counsel and other members of the legal team to execute on the Company’s non-core asset divestiture program
Drafting, reviewing, and negotiating initial-stage transaction documents, including confidentiality agreements, term sheets, and letters of intent
Assisting with coordination and completion of legal due diligence and disclosures relating to corporate, strategic, and finance transactions
Interpreting and advising business functions on provisions and covenants in existing credit facility documents
Assisting with creation, restructuring, and dissolution of legal entities
Maintaining corporate organization structure
Contributing to the development and organization of processes and procedures to create an efficient transaction environment
Leading post-acquisition integration and follow-up matters
Providing support and guidance on other corporate matters
Other legal matters and special projects as assigned
Qualification
Required
A J.D. from a nationally recognized law school
Admission in good standing to a State Bar of any jurisdiction in the United States
At least 2 years of experience as a corporate, transactional lawyer practicing at a reputable law firm and/or in the legal department of a public or private company
Proactive, energetic, self-assured professional with ability to prioritize effectively, think strategically, see the big picture as well as important details, and will be able to develop solutions and provide practical, risk-balanced advice
Strong work ethic, thrives in fast-paced environment, willingness to work long-hours when necessary to sign and close deals, ability to work collaboratively on projects, and manage multiple projects/meet deadlines within budget and with consistently high-quality work product
Strong written and oral communication skills, including the ability to explain concepts clearly to non-lawyers, and excellent negotiation and contract drafting skills
