Responsibilities
Draft, review, and negotiate a wide range of commercial contracts, including SaaS subscription agreements, master service agreements, professional services agreements, reseller/distribution arrangements, and confidentiality agreements
Partner with sales, product, procurement, and compliance teams to facilitate transactions while managing legal risk
Advise on contract interpretation and dispute resolution, ensuring compliance with applicable legal and regulatory requirements
Develop and improve contract templates, playbooks, and negotiation guidelines to streamline the contracting process
Monitor and analyze legal developments in commercial contracting and SaaS delivery models, and provide practical guidance to stakeholders
Collaborate with outside counsel as needed
Qualification
Required
Juris Doctor (J.D.) from an accredited law school and admission to at least one U.S. state bar
Minimum of 5 years post-law school experience, including at least 3 years directly focused on drafting and negotiating commercial agreements
Strong knowledge of contract law and commercial transactions; experience with SaaS agreements highly preferred
Familiarity with intellectual property issues in technology licensing and services agreements
Excellent drafting, analytical, and communication skills, with the ability to balance legal and business considerations
Detail-oriented, organized, and able to manage multiple projects with competing priorities
Preferred
Exposure to regulatory issues under the Investment Advisers Act of 1940 and the Securities Exchange Act of 1934
Experience working with or advising financial services, fintech, or investment advisory businesses
Ability to work both independently and collaboratively in a team-oriented environment
