Senior Director Corporate Governance

The City of New York is seeking a Senior Director for Corporate Governance at the New York City Housing Authority (NYCHA), the largest public housing authority in North America. The role involves overseeing compliance, managing Board logistics, and ensuring effective governance practices.

Responsibilities

Direct professional and administrative staff in several fast-paced extremely deadline-driven departments within the Office of the Corporate Secretary ensuring compliance with all applicable laws, rules and internal policies: Calendar and Documents Unit and Board Logistics Unit
Review and finalize all Board materials in preparation for Board Meetings
Preside over all Board Meetings
Execute all Board Member-related logistics including, but not limited to, providing timely materials to the Board in preparation for Board Meetings, coordinating briefings for Board, managing correspondence/inquiries to Board, facilitating internal Board communications, managing Board Member calendars and onboarding of new Board Members
Ensure proper planning, preparation and execution of Board Meetings in compliance with Open Meetings Law including, but not limited to:
Establish the yearly calendar of Board Meetings and provide adequate public notice
Ensure the timely preparation and accuracy of Board Calendar, Board Resolutions, and reports including reviewing submissions, assisting departments with submissions and finalizing Board Calendar
Attend Board Meetings and ensuring accuracy in drafting and issuance of Board Minutes
Ensure maintenance of accurate related records
Monitor corporate governance developments and implement them accordingly to ensure compliance
Coordination with the Special Advisor for Corporate Governance and Audit, serving as an advisor to the Board Members, as well as a liaison to the Executive Team and external stakeholders
Manage personnel matters and annual departmental budget
Consistently reviewing department processes to improve operational effectiveness
Assist with special projects, representing the office on designated committees/initiatives, and performing other related duties, as required

Required

Admission to the New York State Bar
Four years of recent full-time responsible, relevant, satisfactory legal experience subsequent to admission to any bar
Eighteen months of which must have been in the supervision of other attorneys, in an administrative, managerial or executive capacity, or performing highly complex and significant legal work
Incumbents must remain Members of the New York State Bar in good standing for the duration of this employment

Preferred

Corporate secretary and governance experience
Knowledge of applicable laws and regulations regarding corporate governance
Supervisory experience
Ability to work well independently and with a team in a fast-paced deadline-driven environment to meet designated deadlines
Highly organized and detail-oriented with strong multi-tasking and time management skills
Experience evidence success as project leader and mentoring others, developing individual's skills, while encouraging collaboration and cohesive teamwork
Experience working collaboratively to develop and execute project plans
