Responsibilities

Provide expert counsel on public company rules, securities offerings, and corporate governance
Draft, review, and advise on SEC filings and proxy statements
Support client companies on compliance with federal securities laws and regulations
Assist with reporting and corporate governance matters, including managing board resolutions and internal policies
Work on complex and varied securities issues, collaborating with both internal teams and clients

Required

JD from a top-tier law school
9+ years of experience in securities law, with deep knowledge of public company regulations, securities offerings, and corporate governance
Strong experience with SEC filings, including Forms 10-K, 10-Q, 8-K, and Section 16 reporting (Forms 3, 4, and 5)
Proven ability in drafting proxy statements, board resolutions, and corporate governance documents
NY Bar admission required

Preferred

Experience with broker-dealer, FINRA, investment adviser, or fund formation is a plus
