Responsibilities
Provide strategic legal advice to private equity clients, including portfolio companies and investors, on M&A, leveraged buyouts, and general corporate matters
Draft and negotiate purchase and merger agreements, LLC and LP agreements, and other transaction documents
Advise on management equity arrangements, incentive equity terms, and co-investment arrangements
Navigate the complexities of private equity fund documentation and structures
Participate in business development efforts and collaborate with colleagues across multiple offices and practice areas
Build and maintain strong client relationships, providing tailored legal solutions in private equity transactions
Qualification
Required
At least 3 years of experience working on private equity and M&A transactions
Strong experience drafting and negotiating complex transaction documents such as purchase agreements, LLC/LP agreements, and shareholder agreements
JD degree from an ABA-accredited law school with excellent academic credentials
Admission to the New York Bar (or eligibility to apply for admission)
Strong communication and writing skills with an ability to explain complex legal concepts clearly
Preferred
Familiarity with private equity fund structures, management equity, and co-investment terms is highly desirable
